for the creation and operation of websites and software services (SFERIN, ORDINUJ, custom websites, website operation and other products)

How these terms are structured: these GTC apply to all WebiSfer products. What is included in the price of a particular product, and what its prices, deadlines and service level (SLA) are, is set out in the Product Annex (A: SFERIN, B: ORDINUJ, C: Custom websites and business websites, D: Website operation and hosting, others according to our offer). Where these GTC refer to the “platform”, this means the WebiSfer software, templates and system on which the website or service runs (SFERIN, ORDINUJ, Deskribo or another).
Article 1: Who we are and what these terms cover
1.1 The services are provided by WebiSfer s. r. o., Talinská 2388/9, 040 12 Košice, Slovakia, Company ID (IČO) 57 475 687, Tax ID (DIČ) 2122771926, registered in the Commercial Register of the Municipal Court Košice, Section Sro, Insert No. 65153/V, managing director Ján Šteiner, e-mail info@webisfer.sk; for the SFERIN product info@sferin.sk, for ORDINUJ info@ordinuj.sk (the “provider” or “we”). The contact address for each product is stated in the order. Our prices are stated exclusive of VAT. As at the effective date of these GTC we are not registered for VAT, so the prices are final. If we become VAT registered, we will add VAT at the statutory rate to the prices from the first period after registration; this is not a price change under clause 5.3, and we will announce it by e-mail at least 30 days in advance. Prices for consumers are stated inclusive of VAT.
1.2 These terms (the “GTC”) govern the relationship between the provider and a client who orders the creation of a website, the operation of a website or a software service of the provider (the “service”; the client is referred to as the “client” or “you”). A client may be a company, a sole trader, a healthcare provider or another business, or a consumer, meaning a natural person who does not order the service in the course of a business (for example the owner of a holiday cottage without a trade licence). Provisions that apply only to consumers are set out in Article 14; where they are more favourable to the consumer, they take precedence over the other articles.
1.3 The contract consists of the signed Service Agreement (the “order”), the Product Annex for the ordered product, the Data Processing Agreement (if the service processes personal data on behalf of the client), any Custom Design Addendum, and these GTC. In the event of a conflict, the order prevails, then the Product Annex, then the GTC.
Article 2: What the service includes
2.1 Depending on the product, the service is: (a) the creation of a website on the provider's platform from a template or with a custom design, and its operation for an annual or monthly fee (SFERIN, ORDINUJ, business websites), (b) a software service (SaaS) with or without a website (ORDINUJ, SFERIN Reservations, Deskribo), (c) the operation and hosting of a website that we have created. We do not operate or manage websites created by other suppliers. The exact scope, packages, prices, deadlines and SLA are set out in the Product Annex.
2.2 Add-ons and separate services listed in the Product Annex or in our current offer are ordered in the order or later by e-mail, and are charged according to the price list valid at the time of ordering. A later order by e-mail forms part of the contract.
2.3 We may develop and change the service technically, provided that we do not substantially impair the functions listed in the Product Annex. New functions that we add without a surcharge are included in the operation fee.
2.4 Connections to third-party systems (booking portals, SMS gateways, payment gateways, invoicing software, calendars, maps) work to the extent and with the delay determined by the system concerned; we are not responsible for its operation, changes or outages. Details are set out in the Product Annex.
Article 3: Free preview and conclusion of the contract
3.1 On request, we will prepare a preview of the website or trial access to the service. The preview is free of charge and non-binding; if you decide not to continue, you pay nothing. We prepare the preview from publicly available information about your business, without any guarantee of accuracy; it is not indexed by search engines, and we will switch it off within 3 working days at your request. The preview is our property and we may switch it off after 90 days without a response.
3.2 The contract is concluded when both parties sign the order through an electronic signature platform (Signi or an equivalent service with SMS code verification), with an advanced electronic signature, or by signing on paper. If the client does not sign the order but confirms the offer in writing (by e-mail) and pays the advance invoice, the contract is concluded upon payment, and its content consists of the offer, the Product Annex, the Data Processing Agreement and these GTC. An offer is valid for 30 days from sending, unless it states otherwise.
3.3 The client declares that the information in the order is true, that the person signing the order is authorised to act on behalf of the client, and that the client has correctly indicated whether it is a business or a consumer.
Article 4: Materials, website creation, comments and approval
4.1 The client shall supply the materials according to the product checklist (for example photographs of sufficient quality, texts, a price list, surgery hours, contact details, a logo, access to the domain) in electronic form within 14 days of signing the order, unless the order or the Product Annex sets a different deadline. We may adjust unsuitable materials (low resolution, illegible text) to a reasonable extent within the package, or ask for new ones.
4.2 Within the deadline set in the Product Annex (or, if none is set, within 14 days) from delivery of complete materials, we will prepare the website at a working address and inform the client by e-mail. Any delay on the part of the client (materials, comments, payment, cooperation) extends our deadlines by at least the same number of days. Texts, images and legal templates prepared by us (including with the help of software tools) are drafts; the client checks them before launch, by approving them adopts them as its own content, and is responsible for them under Article 8.
4.3 The client is entitled to 3 rounds of comments. The client sends its comments by e-mail in a single message within 5 working days of our notice; we need not take into account comments on parts that the client has already approved or that we have adjusted according to its previous comments. We will notify the client of the incorporated comments in the same way. If the client does not respond within the deadline, the website is deemed approved; we will send a consumer one more reminder by e-mail before the deadline expires, and deemed approval occurs only 5 working days after the second reminder.
4.4 Work beyond the package and the order (a change of template, new functions, a new design, writing texts, further rounds of comments, content changes beyond the support limit) is charged at the hourly rate according to the price list (EUR 49 per hour unless the price list states otherwise), per each half hour or part of it. Before starting, we will send an estimate of the scope by e-mail; we will start work only after the client confirms it by e-mail or in the administration, and we will agree in advance on any overrun of the estimate by more than 20%. Additional work is invoiced after delivery with a payment term of 14 days.
4.5 If the client fails to supply the materials within 60 days of signing the order, and also fails to do so after a written notice with an additional period of 10 days, we may (a) complete and launch the website using the materials from the preview and the client's publicly available sources, in which case the client adds the content itself through the administration, or (b) withdraw from the contract; in both cases we are entitled to 50% of the one-off price as a lump-sum compensation for the work performed. For a consumer, we will claim only the work actually performed under Article 14.
4.6 The website is duly delivered (handed over and accepted) on the day it is launched on the client's domain. We will launch it within 5 working days of the approval of the website and payment of the advance invoice.
4.7 Minor content changes after launch (replacing a photo, correcting a text, changing a price) are made by the client itself in the administration; as part of support we will help with them to the extent set out in the Product Annex. Larger changes are paid work under clause 4.4.
4.8 If we fail to prepare the website even within 30 days after the deadline under clause 4.2 for reasons on our side, the client shall send us a written notice with an additional period of 10 working days; if that period expires without result, the client may withdraw from the contract, and we will refund all payments within 14 days.
Article 5: Price
5.1 Depending on the product, the price has one or two parts: a one-off price for creating and launching the website (if the product has one) and an operation fee, which is paid in advance for the period set out in the Product Annex (a year or a month). The exact amounts are stated in the order; the public price list is on the product's website.
5.2 The price includes all our costs of providing the service, including the domain and hosting. Not included are only services that the client orders in addition and third-party costs chosen by the client (for example a premium domain, paid portals, an SMS gateway).
5.3 We may change the annual fee and the prices of add-ons. We will announce the change by e-mail no later than 30 days before the start of the annual period from which it is to apply. If the client does not agree with the change, it may terminate the contract at the end of the current period without further costs; otherwise the new price applies from the new period. An increase not exceeding the inflation rate published by the Statistical Office of the Slovak Republic for the previous year is not a change under this clause, and it is sufficient to state it on the invoice.
Article 6: Payment terms
6.1 We invoice the one-off price, one-off add-ons and the first operation fee by an advance invoice issued in our invoicing system when the order is signed, with a payment term of 14 days, unless the order provides otherwise (for example a deferral of the one-off price). We will issue a regular invoice after payment. We launch the website only after payment, unless agreed otherwise in the order.
6.2 We invoice the operation fee for the next period before the period begins (an annual period no later than 30 days in advance with a payment term of 14 days, a monthly period on its first day); the period begins on the day the website or service is launched, and subsequent periods follow on.
6.3 We deliver invoices electronically to the client's e-mail in PDF format; the client agrees to electronic invoicing. Payment is made by bank transfer to the account stated on the invoice (IBAN SK16 1100 0000 0029 4429 3014) or by card, if the product allows it; card payments are processed through a payment gateway whose terms the client accepts when paying. For a monthly period, the client agrees to a recurring card payment at the start of each period; the client may change the card or cancel the recurring payment in the administration, which terminates the contract at the end of the paid period. If a payment fails, we will notify the client and try again within 7 days; after 14 days without payment we will suspend the service under clause 6.4.
6.4 If the client is in arrears, we will send a reminder by e-mail. If the client does not pay within 14 days of the reminder, we may suspend the website and services (the website displays a suspension notice, and bookings and orders are not accepted) until the client pays; the Product Annex may provide for a milder procedure (for example, for a medical practice the website with surgery hours and contact details stays online, and only online booking is switched off). Suspension does not cancel the obligation to pay the fee for the period; during suspension we do not renew the domain and are not responsible for its expiry or for any loss of bookings and orders; our deadlines are extended by the duration of the suspension. We may charge a business client statutory default interest and a lump-sum compensation for the costs of recovering the claim under the Commercial Code.
6.5 If the client does not pay within 60 days of the due date, we may withdraw from the contract and proceed under Article 13. The one-off price and the fee for a period that has already started are not refundable.
Article 7: Domain, e-mail and hosting
7.1 We register a new domain for the client as part of the annual fee (.sk, .cz, .com, .eu or another common extension; premium domains and extensions with a higher price by agreement). The client is the holder of the domain if the registry rules allow it; otherwise we hold it in our name exclusively for the client and, at the client's request, will transfer it free of charge to the client or a person it designates, provided the client has no overdue obligations towards us. If the domain cannot be registered, the client chooses another one; this is not a breach of contract. The registrar's fee for registering or renewing a domain is non-refundable once the registration or renewal has been made. If a third party asserts rights to the domain (a trade mark, a business name), we may block or transfer the domain according to the decision of the registry or a court; the costs and responsibility are borne by the client who chose the domain.
7.2 The client may keep an existing domain with its registrar and point it to our website according to our instructions, or transfer it to us. In the case of a transfer, we pay for the domain as part of the annual fee from the next renewal.
7.3 We provide e-mail mailboxes on the domain to the extent set out in the Product Annex. The client is responsible for the content and use of the mailboxes and for not sending unsolicited messages through them. A maximum of 500 messages per day may be sent from a mailbox; bulk mailing is permitted only through the newsletter module with the recipients' consent. We do not back up the content of mailboxes when the contract ends or on migration; the client moves it itself according to our instructions.
7.4 The website runs on our infrastructure; the client has no access to the server, the database or the source code and cannot move the website to another hosting provider. The client has access to the administration and the product application. For the Operation and hosting product (Annex D), Annex D applies.
Article 8: Content, licence, ownership and references
8.1 The content of the website, meaning texts, photographs, the logo, prices, the client's information and the data entered into the service by the client or its customers (guests, patients, visitors), belongs to the client. The client is responsible for having the right to publish the content (in particular copyright in photographs and texts), for the content being true, complete and lawful, and for the content not infringing the rights of third parties. The client grants us a free licence to use the content to the extent necessary to provide the service and for demonstrations of our product. We may remove content that is manifestly unlawful, or that a third party credibly notifies us infringes its rights, after notifying the client. If a third party or an authority makes a claim, imposes a fine or seeks costs against us in connection with the content of the website, the client's materials, its mailboxes, its customers or a breach of its legal obligations, the client shall compensate us for the resulting damage, including reasonably incurred legal costs, within 30 days of our request; we will inform the client of the claim without delay and allow it to comment.
8.2 The provider's platform (SFERIN, ORDINUJ, Deskribo or another), meaning the software, the booking or ordering system, the administration, the application, templates, template designs, graphic elements, website structure, interface texts, database structure and source code, is and remains the exclusive property of the provider and is protected by copyright. It is not sold or handed over to the client; it is not a work made to order within the meaning of Section 91 of the Copyright Act. The same applies to a website created from a template, regardless of any adjustments to colours, logo and content for the client.
8.3 For the duration of the contract, the client has a non-exclusive, non-transferable licence to use the platform solely to operate its website on the agreed domain and in the product application. The licence is included in the operation fee. The licence ends when the contract ends, and the client does not receive the website or the system; it receives only an export of its content and data under Article 13.
8.4 The client must not: (a) copy, download, modify, decompile or otherwise obtain the source code, templates or database, or attempt to do so; (b) give access to the administration to a third party other than its own staff, or disclose login details; (c) use the website or system to create another website, product or service, or provide it to a third party; (d) automatically download data from other clients' websites, overload or attack the infrastructure, or circumvent security features; (e) remove the footer under clause 8.6. The client edits the content of the website through the administration to the extent the administration allows; other interventions in the website are not permitted.
8.5 The websites include third-party libraries, fonts and components with their own licences (mainly open licences); we will provide a list of them on request and when handing over a website under Annex C. A custom design created under the Custom Design Addendum is governed by that addendum: once its price has been paid, the client is entitled to receive the graphics in the form of HTML and CSS as set out in the addendum; neither the platform nor the server system is handed over even in this case. A custom website built without the platform (Annex C) is handed over to the extent set out in Annex C.
8.6 Every website and application carries the mark “Created by WebiSfer” with a link to webisfer.sk and, for a product, also the platform mark (“Powered by SFERIN” with a link to sferin.sk, “Powered by ORDINUJ” with a link to ordinuj.sk), on the website in the footer, and in the application in the footer or in the “about” section; the client may not remove or cover them. A client that is a business agrees that we may list the website (its address and appearance) among our references, unless stated otherwise in the order; a consumer gives consent to a reference by ticking a box in the order. The footer always remains.
8.7 In the event of a breach of clause 8.4 (a) to (d) or Article 10, the client shall pay a contractual penalty of EUR 3,000 for each breach. The contractual penalty does not exclude the right to compensation for damage in full, the right to surrender of unjust enrichment, or immediate withdrawal from the contract. In relation to a consumer, the contractual penalty applies only to the extent permitted by law; instead, we may claim compensation for damage.
Article 9: Personal data of the client's customers and the client's obligations
9.1 If the service processes personal data of the client's customers (guests, patients, visitors, subscribers), the client is their controller and we are the processor; we process the data only on the client's instructions and only to operate the service. The Data Processing Agreement under Art. 28 GDPR is concluded together with the order; its product part specifies the categories of data and the further processors. The data is stored on servers in the EU, and sensitive data is encrypted.
9.2 The client's legal obligations towards its customers and the authorities remain with the client (for example, for an accommodation provider, the guest register, reporting of foreign guests and the accommodation tax; for a medical practice, medical records and the rules on advertising healthcare; for everyone, informing customers under the GDPR and its own terms and conditions towards them). We will prepare templates of the website's legal texts; the client approves them and is responsible for them. The client checks any materials prepared by the system before using them.
9.3 How we handle the personal data of the client and its representatives (name, contact details, billing details) is described on the page webisfer.sk/ochrana-udajov (in English at webisfer.sk/en/privacy) and on the product page. We process this data to perform the contract and to comply with legal obligations (accounting records for 10 years).
Article 10: Confidentiality
10.1 The parties keep confidential the business, technical and financial information of the other party that is not publicly known, during the contract and for 3 years after it ends. In particular, the client shall not disclose to third parties information about the operation, security and pricing of the platform obtained from the administration and from communication with us. Confidentiality does not apply to information that must be provided to advisers bound by confidentiality, to authorities and to courts, or to the listing of references under clause 8.6.
Article 11: Availability, support, liability for defects
11.1 Availability, maintenance windows, support response times and compensation for outages are set out in the Product Annex (SLA). We do not guarantee one hundred per cent availability; an outage may also be caused by a failure outside our control (network, registrar, portal, attack).
11.2 The client reports a defect in the service by e-mail to the product address with a description. We will confirm receipt within 1 working day and inform the client of the expected procedure; we remedy defects without undue delay, at the latest within 30 days, and handle outages according to the SLA. The complaints procedure is set out in the Complaints Procedure. Otherwise, rights arising from defects are governed by the Commercial Code in relation to businesses and by the Civil Code in relation to consumers (Article 14).
11.3 We make backups daily and keep them for at least 7 days; details are set out in the Product Annex. Backups are used to restore the service after a failure on our side.
11.4 In the event of loss of or damage to data for any reason, our sole obligation is to restore from backup to the state of the last available backup; we are not responsible for data entered after it. Before making bulk changes, and at least once per period, the client shall make its own export of the data through the administration; we allow the export free of charge at any time. We are not responsible for loss of data caused by the client, its users or third parties; a restore from backup at the client's request is charged according to the price list.
11.5 Support is intended for a maximum of 2 contact persons of the client named in the order or in the administration; a phone call does not replace an e-mail, and we will confirm the request by e-mail. Support does not include training beyond the initial session, content creation, marketing, advertising management or advice on third-party systems.
Article 12: Duration and termination
12.1 The contract is concluded for an indefinite period; the operation fee is paid in advance for the period set out in the Product Annex (a year or a month). The first period begins on the day the website or service is launched.
12.2 Either party may terminate the contract at any time without giving a reason, by e-mail from the address stated in the order or from the owner's account in the administration. Termination takes effect at the end of the current prepaid period; the fee for the current period is not refunded, because we pay third parties for the domain, hosting and other services for the whole period in advance. At the client's request, we will switch off the website and services earlier, without refunding a proportionate part of the fee. We issue the invoice for the next period no later than 30 days before it begins; if the client terminates the contract before the new period begins, we will cancel the invoice. If the client does not terminate and the new period begins, we are entitled to the fee for the whole new period. We will remind a consumer by e-mail of the upcoming renewal of an annual period no later than 45 days in advance.
12.3 We may withdraw from the contract with immediate effect if the client (a) does not pay within 60 days of the due date, (b) breaches clause 8.4 or Article 10, (c) uses the website for content under clause 15.3, (d) repeatedly fails to cooperate under Article 4. The client may withdraw if we materially breach the contract and do not remedy the breach within 30 days of a written notice; in that case we will refund a proportionate part of the annual fee for the unused months.
12.4 Upon termination of the contract for any reason, the licence under clause 8.3 ends.
Article 13: What happens after the contract ends
13.1 We will switch off the website on the day the contract ends. We do not hand over the website or the system to the client (Article 8).
13.2 On a request made no later than 30 days after the end of the contract, we will send the client an export of its content and data (texts, photographs, bookings or orders, records, reviews, contacts) in a common machine-readable format (CSV or JSON, photographs as the original files). One export is free of charge; a repeated export or another format is charged according to the price list.
13.3 The domain and e-mail mailboxes belong to the client. The client shall take them over before the contract ends (transfer of the domain to another registrar or change of holder, migration of the mailboxes); we will provide the necessary cooperation and authorisation codes free of charge, provided the client has no overdue obligations towards us. If the client does not take over the domain, we will no longer pay for it after the contract ends, we will cancel the e-mail mailboxes on the day the contract ends, and the domain will expire at the end of its registration period. We will point this out to the client in the notice of termination or withdrawal. We are not responsible for the consequences of the client not taking over the domain.
13.4 We will delete the website data and the data of the client's customers no later than 90 days after the end of the contract, including backups in the normal cycle; we will keep only what we are required to keep by law (invoices, accounting records). This also applies to data under the Data Processing Agreement.
Article 14: Consumer rights
14.1 If you are a consumer and you concluded the contract at a distance (by e-mail, through a website, by electronic signature), you may withdraw from it without giving a reason within 14 days of its conclusion (Sections 19 and 20 of Act No. 108/2024 Coll. on Consumer Protection). It is enough to inform us clearly at info@webisfer.sk or at the product address; you may use the model form (annex to these GTC). We will refund payments within 14 days of receiving the withdrawal.
14.2 If you expressly request in the order that we start creating the website before the withdrawal period expires, and you then withdraw, you will pay a proportionate part of the price for the work performed until the withdrawal is received (Section 21(5) of Act No. 108/2024 Coll.). At your express request in the order, we will register the domain and set up mail hosting and web hosting immediately after payment. By registering the domain you lose the right to withdraw from this part of the contract, and the domain fee is not refunded; the domain remains yours. Hosting and mail hosting are services whose provision started with your consent; if you withdraw, you will pay a proportionate part of the annual fee for the period until the withdrawal is received and the set-up costs we have already incurred. Likewise, the price of third-party services (a premium domain, SMS credit) that we ordered at your request is not refunded. If, with your express consent, we fully provide the service (launch the website) before the withdrawal period expires and you have declared that you were informed of the loss of the right of withdrawal, you can no longer withdraw from the contract (Section 19(1)(a) of Act No. 108/2024 Coll.).
14.3 We are liable to consumers for damage to the extent determined by law; the limitation under clause 15.1 does not apply to consumers. The contractual penalty under clause 8.7 and the lump sum under clause 4.5 apply to consumers only to the extent permitted by law.
14.4 We handle complaints in accordance with Article 11 and the Complaints Procedure published on webisfer.sk and on the product page. We will decide on a consumer's complaint no later than 30 days after it is lodged.
14.5 Alternative dispute resolution: if you are not satisfied with the way your complaint was handled, or you believe that we have breached your rights, ask us for redress at info@webisfer.sk. If we reject the request or do not respond to it within 30 days, you may file a proposal for alternative dispute resolution under Act No. 391/2015 Coll. on Alternative Dispute Resolution of Consumer Disputes with the Slovak Trade Inspection (Slovenská obchodná inšpekcia, Bajkalská 21/A, P. O. BOX 29, 827 99 Bratislava, ars@soi.sk, soi.sk) or with another body on the list kept by the Ministry of Economy of the Slovak Republic, within one year. This does not affect your right to go to court.
14.6 Supervisory authority: Slovak Trade Inspection, SOI Inspectorate for the Košice Region, Vrátna 3, P. O. BOX A-35, 040 65 Košice 1.
Article 15: Liability for damage and prohibited use
15.1 Towards clients who are businesses, our total liability for damage under and in connection with the contract is, to the extent permitted by law, limited to the amount of the annual fee paid for the last 12 months; we are not liable for loss of profit, loss of bookings, damage to reputation, or indirect and consequential damage. The limitation does not apply to damage caused intentionally or by gross negligence. A series of related events with a single cause is treated as one damage event. We never refund more than the client has paid for the service. The parties declare that damage exceeding this amount is damage that they could not foresee at the time the contract was concluded (Section 379 of the Commercial Code).
15.2 We are not liable for damage caused by content supplied by the client, by the conduct of its customers (guests, patients, visitors), by incorrect setting of prices and conditions by the client, by loss of login details on the client's side, by the operation of booking portals, registrars, payment services and other third parties, by an internet outage on the side of the client or a guest, or by force majeure.
15.3 The client must not use the website or the service for content or activities contrary to law or good morals, in particular: pornography, illegal software and content infringing copyright, unsolicited mail and phishing, gambling without a licence, extremism and hateful content, misleading offers, cryptocurrency mining, malicious code, security and load testing of our infrastructure without written consent, or any activity that excessively loads or endangers the infrastructure or other clients. Abuse can be reported to abuse@webisfer.sk. In such a case we may suspend the website immediately and ask the client to remedy the situation; if it is not remedied within 7 days, we may withdraw from the contract.
15.4 Force majeure: a delay caused by circumstances that the party could not influence (a natural disaster, an outage of a data centre, network, registrar, payment or SMS gateway or another supplier, a large-scale cyber attack, intervention by a public authority, an epidemic) is not considered a breach of contract. If it lasts longer than 60 days, either party may withdraw from the contract.
Article 16: Delivery of notices and communication
16.1 We communicate by e-mail to the addresses in the order; e-mail is considered written form. An e-mail is deemed delivered on the next working day after it is sent to the address stated in the order or in the administration, unless it is returned as undeliverable. We accept termination, withdrawal and changes of contact details only from the e-mail address stated in the order or through the owner's account in the administration; we will verify a message from another address by calling back or by e-mail, and it does not take effect until verified. We send our notice of termination or withdrawal by e-mail and at the same time display it in the administration. A party shall notify a change of address without delay; until it does so, the original address applies.
16.2 We accept instructions concerning the website only from the client and from persons designated by the client in the administration or by e-mail. We will confirm an instruction given by phone by e-mail; it applies only once confirmed.
Article 17: Final provisions
17.1 The relationship is governed by the law of the Slovak Republic: in relation to businesses by the Commercial Code, in relation to consumers by the Civil Code and Act No. 108/2024 Coll. Disputes are decided by the courts of the Slovak Republic; before filing a lawsuit, the parties will try to reach an agreement through negotiation within 30 days.
17.2 We may change the GTC. We will announce a change by e-mail no later than 30 days before it takes effect; if the client does not agree with it, it may terminate the contract at the end of the current period. For a period already paid, the terms under which the client paid for it apply, unless the change is in the client's favour. Using the service after the change takes effect is considered consent. A change required by a change in the law or by a decision of an authority may take effect from the day the law requires.
17.3 If any provision is invalid, the other provisions remain in force; the invalid provision is replaced by the statutory provision closest to its purpose.
17.4 The client may not transfer rights under the contract to a third party without our consent; if the business (accommodation, medical practice, company) is sold to a new owner, we will not refuse consent if the new owner accedes to the contract. We may transfer the contract to a legal successor or to a company in the WebiSfer group by notifying the client.
17.5 We may also provide the services through subcontractors (in particular a data centre, a registrar, payment and SMS gateways, external developers and graphic designers); we are responsible for their performance as for our own. Subcontractors that process personal data of the client's customers are listed in the Data Processing Agreement and are changed in accordance with it.
17.6 These GTC apply from 27 October 2026 to all WebiSfer products. The General Terms and Conditions of the SFERIN service of 11 October 2026 are replaced; for contracts concluded before this date, clause 17.2 applies.
